These Terms of Service ("Terms") govern your access to and use of the maeda platform, including all features, applications, and services offered through our website and software. Please read these Terms carefully before using maeda.
1. Acceptance of Terms
By creating an account, accessing, or using the maeda platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the platform.
If you are accepting these Terms on behalf of an organisation or clinic, you represent and warrant that you have the authority to bind that organisation to these Terms.
2. Definitions
In these Terms:
- "Platform" means the maeda web application, APIs, and related services.
- "User" means any individual who creates an account and accesses the Platform, including doctors, clinic administrators, and support staff.
- "Organisation" means a clinic, practice, or healthcare entity that subscribes to a team plan and manages multiple User accounts.
- "AI-Generated Content" means any text, notes, documents, or structured data produced by the Platform's artificial intelligence features, including SOAP notes, referral letters, care plans, and transcriptions.
- "Clinical Content" means all consultation recordings, transcriptions, clinical notes, documents, and patient data created, uploaded, or processed through the Platform.
3. Account Registration
Individual Accounts
Healthcare professionals may register an individual account using a valid email address. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.
Organisation Accounts
Clinics and practices may register an Organisation account to manage multiple doctors and staff under a single subscription. The Organisation administrator is responsible for managing user access, roles, and ensuring that all members of the Organisation comply with these Terms.
Account Security
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at admin@maedahealth.com if you suspect unauthorised access to your account.
Healthcare Professional Eligibility
maeda is designed for use by registered healthcare professionals. By registering, you represent that you are a qualified healthcare professional licensed to practise in Australia, or an authorised staff member acting under the supervision of a registered practitioner. maeda reserves the right to verify registration details and suspend accounts that do not meet eligibility requirements.
4. Acceptable Use
You agree to use the Platform only for lawful purposes and in accordance with these Terms. You must not:
- Use the Platform in any way that violates applicable Australian law, including the Privacy Act 1988, the My Health Records Act 2012, or applicable state health legislation
- Record consultations without obtaining the required consent from the patient or other parties to the consultation
- Input or process data relating to individuals who have not consented to such use
- Attempt to reverse-engineer, decompile, or extract source code from the Platform
- Use the Platform to train competing AI models or to create derivative products without our written consent
- Share account credentials with individuals outside your authorised team
- Transmit any malicious code, viruses, or disruptive software through the Platform
- Misrepresent your professional qualifications or the source of clinical content
5. AI-Generated Content: Important Disclaimer
AI-Generated Content is an assistive tool only. It does not replace clinical judgement.
maeda's AI features, including consultation transcription, SOAP note generation, document drafting, and form auto-fill, are designed to assist healthcare professionals by reducing administrative burden. They are not a substitute for professional medical judgement, diagnosis, or clinical decision-making.
The treating healthcare professional must review all AI-Generated Content before it is used, filed, or communicated to patients or third parties. You are solely responsible for the accuracy, completeness, and clinical appropriateness of any content you finalise, sign, or act upon.
maeda makes no representation that AI-Generated Content is accurate, complete, or suitable for any particular clinical situation. AI models may produce errors, omissions, or hallucinations. You must apply your professional knowledge and judgement when reviewing all AI outputs.
To the maximum extent permitted by law, maeda is not liable for any clinical outcome, patient harm, or professional consequence arising from reliance on AI-Generated Content that has not been adequately reviewed by the responsible healthcare professional.
6. Intellectual Property
maeda IP
The Platform, including its software, algorithms, user interface, branding, and documentation, is owned by or licensed to maeda and is protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to access and use the Platform during your subscription term, solely for your own clinical and administrative purposes.
Your Content
You retain ownership of all Clinical Content you create, upload, or process through the Platform. You grant maeda a limited licence to process and store that content solely to provide the services described in these Terms. We do not claim any ownership over your clinical records or patient data.
Feedback
If you submit feedback or suggestions about the Platform, you grant maeda a perpetual, royalty-free licence to use that feedback for any purpose, without any obligation of confidentiality or compensation.
7. Payment Terms
Free Plan
maeda may offer a free tier with limited features. Free plans are provided at our discretion and may be modified or discontinued at any time with reasonable notice.
Paid Plans
Paid subscriptions are billed in advance on a monthly or annual basis, in Australian Dollars (AUD) inclusive of GST where applicable. Prices are listed on the maeda pricing page and may change with 30 days' notice to existing subscribers.
Billing and Refunds
You authorise maeda to charge your nominated payment method at the start of each billing period. Subscription fees are non-refundable except where required by Australian Consumer Law or as expressly stated in these Terms. If you believe you have been charged in error, please contact us within 30 days of the charge.
Non-Payment
If a payment fails, we will notify you and provide a grace period to update your payment details. Continued non-payment may result in suspension or termination of your account.
8. Termination
By you: You may cancel your subscription at any time through the account settings or by contacting us. Upon cancellation, your access to paid features will continue until the end of the current billing period.
By maeda: We reserve the right to suspend or terminate your account immediately if you breach these Terms, engage in conduct that poses a risk to the Platform or other users, or for any other reason with reasonable notice where practicable.
Effect of termination: Upon termination, your licence to use the Platform ceases. You should export any Clinical Content you wish to retain before account closure. We will retain and delete data in accordance with our Privacy Policy and applicable legal obligations.
9. Limitation of Liability
To the maximum extent permitted by Australian law (including the Australian Consumer Law):
- maeda provides the Platform on an "as is" and "as available" basis. We do not warrant that the Platform will be error-free, uninterrupted, or meet your specific requirements.
- maeda's total aggregate liability to you for any claims arising from or related to the Platform shall not exceed the total subscription fees paid by you in the 12 months preceding the claim.
- maeda is not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, loss of revenue, or clinical outcomes, arising from your use of or inability to use the Platform.
Nothing in these Terms excludes, restricts, or modifies any right or remedy, or any guarantee, warranty, or other term or condition implied or imposed by the Australian Consumer Law that cannot lawfully be excluded or limited.
10. Indemnification
You agree to indemnify and hold harmless maeda and its officers, employees, and contractors from and against any claims, losses, damages, or expenses (including reasonable legal fees) arising from:
- Your breach of these Terms
- Your use of AI-Generated Content without adequate clinical review
- Your failure to obtain required patient consents for consultation recording or data processing
- Any clinical decision, action, or omission made in connection with your use of the Platform
11. Governing Law and Disputes
These Terms are governed by the laws of New South Wales, Australia. Any disputes arising from or in connection with these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts of New South Wales, Australia.
Before commencing any formal legal proceeding, you agree to contact maeda in good faith to attempt to resolve any dispute informally within 30 days of raising the issue.
12. Changes to These Terms
maeda may update these Terms from time to time. We will notify you of material changes by email or by a prominent notice on the Platform at least 14 days before the changes take effect. Your continued use of the Platform after the effective date of the revised Terms constitutes your acceptance of those changes.
If you do not agree to the revised Terms, you must stop using the Platform before the changes take effect and may cancel your subscription in accordance with Section 8.
